• The FLIPPOS official shopping platform provides services based on these Terms of Service (hereinafter referred to as "the Service"). By completing the FLIPPOS membership registration process, or by starting to use this Service, the member indicates that they have read, understood, and agreed to accept all contents of these Terms of Service, and fully accept all existing and future service items and content derived from this Service. FLIPPOS reserves the right to modify or change the content of these Terms of Service at any time. The modified Terms of Service will be published on the website, and FLIPPOS will not notify members individually. Members are advised to pay attention to such modifications or changes at any time. When a member continues to use this Service after any modification or change, it is deemed that the member has read, understood, and agreed to accept such modifications or changes. If the member does not agree to the above revisions or updates to the Terms of Service, or does not accept any other agreement in these Terms of Service, the member should immediately stop using this Service.
• If the member is a minor under the age of twenty, they should only register as a member, use, or continue to use this Service after their parent (or guardian) has read, understood, and agreed to all the content of this agreement and any subsequent modifications or changes. When a member uses or continues to use FLIPPOS, it is presumed that the member's parent (or guardian) has read, understood, and agreed to accept all the content of this agreement and any subsequent modifications or changes.
• Both the member and FLIPPOS agree that all content used in this Service, including expressions of intent, etc., will be expressed in the form of electronic documents.

In order to use this Service, members agree to the following:
• Provide accurate and up-to-date information about themselves as prompted by the registration form of this Service, and not register as a member under the name of a third party. Each member may only register one account and may not register repeatedly.
• Maintain and update personal member data in a timely manner to ensure its accuracy and obtain the best service.
• If a member provides any incorrect or false information, or fails to provide information as instructed, or lacks necessary information, or has duplicate registered accounts, FLIPPOS reserves the right to suspend or terminate the member's account without prior notice, and refuse the member from using all or part of this Service.

The member registration and other specific data are protected and regulated by FLIPPOS's "Privacy Policy".

• After completing the registration process for this Service, the member will obtain a specific password and member account. Maintaining the confidentiality and security of the password and account is the member's responsibility. When the member account and password match the login information entered according to the prescribed method, regardless of whether it was personally entered by the member, it will be presumed to be used by the member, and the member shall be solely responsible for all actions performed using that password and account.
• Members agree to the following:
  • If the member's password or account is stolen or any other security issue occurs, the member will immediately notify FLIPPOS.
  • End the use of the member's account after each connection.
  • The member's account, password, and member rights are for the member's personal use and enjoyment only, and may not be lent, transferred to others, or shared with others.
  • If the account and password are stolen, misused, or in other situations where FLIPPOS cannot verify whether it was personally used by the member, FLIPPOS will not be liable for the resulting damage, unless it is proven to be caused by reasons attributable to FLIPPOS.
  • If FLIPPOS is aware that a member's account password has indeed been misappropriated by another person, it will immediately suspend the use of that account (including the processing of transactions generated by that account).

To ensure the safety of children and adolescents using the internet and to prevent invasion of privacy, parents (or guardians) should fulfill the following obligations: When children under the age of twelve use this service, they should be accompanied throughout. Adolescents aged twelve to under eighteen should also consider whether to give consent before using this service.

Members pledge not to use this service for any illegal purpose or in any illegal manner, and pledge to comply with relevant laws and regulations of the Republic of China and all international practices for internet use. If the member is a user outside the Republic of China, they also agree to comply with the laws of their country or region. Members agree and guarantee not to use this service to infringe upon the rights of others or engage in illegal activities, including but not limited to:
• Publishing or transmitting any text, pictures, or any form of files that are defamatory, insulting, threatening, offensive, indecent, obscene, false, violate public order or good morals, or are otherwise illegal.
• Infringing upon or damaging the reputation, privacy, trade secrets, trademark rights, copyrights, patent rights, other intellectual property rights, and other rights of FLIPPOS or others.
• Violating confidentiality obligations stipulated by law or contract.
• Using this service under the guise of another person's name.
• Transmitting or spreading computer viruses.
• Engaging in commercial activities not authorized in advance by FLIPPOS.
• Publishing, transmitting, sending spam, chain letters, illegal or unauthorized multi-level marketing messages and advertisements by FLIPPOS; or storing any data that infringes on others' intellectual property rights or violates laws.
• Behaviors that cause trouble, annoyance to other users or third parties of this service, or behaviors that violate general internet etiquette and cause disgust.
• Other behaviors that do not conform to the purpose of use provided by this service or behaviors that FLIPPOS reasonably deems inappropriate.

• Members agree that FLIPPOS may, according to business needs and actual circumstances, increase, decrease, change, or terminate the items or content of related services within the scope of this service provided by FLIPPOS, without individual notification to members.
• Members agree that FLIPPOS may, according to actual implementation, add, modify, or terminate related activities, and choose the most appropriate way to inform members.
• Members agree that FLIPPOS may periodically send newsletters or product information (EDM) to the email account registered by the member. When the member receives the message and indicates refusal to accept marketing, FLIPPOS will stop sending marketing messages.

FLIPPOS will maintain the normal operation of the system and services according to generally reasonable technology and methods.
However, in the following circumstances, FLIPPOS has the right to stop or interrupt the provision of this service:
• When necessary maintenance and construction are carried out on the electronic communication equipment of the FLIPPOS website.
• When a sudden electronic communication equipment failure occurs.
• When the electronic communication service applied for by the FLIPPOS website is stopped and cannot provide services.
• When the FLIPPOS website is unable to provide services due to force majeure factors such as natural disasters or other reasons not attributable to FLIPPOS.

• When a member uses this service to conduct a transaction, they should proceed according to the mechanism for confirming product quantity and price provided by FLIPPOS.
• When a member agrees to order products using this service, FLIPPOS still reserves the right to reject orders or cancel shipments before FLIPPOS notifies the confirmation of the transaction. After the member sends an order notification to FLIPPOS, the system will automatically send an acceptance notification, but this notification is not an order confirmation notification, and FLIPPOS will separately inform whether the transaction is established. If the transaction conditions (including but not limited to specifications, content descriptions, pictures) of the subject product or service in the order content are incorrect, FLIPPOS may still reject the order within two working days after placing the order.
• If a member, after ordering products using this service, arbitrarily returns or exchanges goods, cancels an order, or engages in any behavior that FLIPPOS deems inappropriate and causes trouble or damage to FLIPPOS's operations, FLIPPOS may, depending on the situation, refuse the transaction or permanently cancel the member's qualification. If the product ordered by the member belongs to any of the following situations: (1) pre-order items, (2) the product page shows no stock, (3) requires procurement from a supplier, (4) shipped directly by the manufacturer, due to the nature of product transactions, if the product is out of stock, or if the manufacturer is unable to supply goods smoothly for any reason, leading to the order not being established, FLIPPOS will inform the member in the most appropriate manner (primarily by email, supplemented by phone, mail, or fax).
• When a member uses this service to conduct a transaction, they may exercise their rights in accordance with the provisions of the Consumer Protection Act. If there is any doubt about these terms of service due to the member's transaction behavior, it should be interpreted in a way that is favorable to the consumer.

• All functions provided by this service are provided as they are at the time of use. FLIPPOS does not bear any express or implied warranty responsibility for their effectiveness, speed, completeness, reliability, security, accuracy, etc.
• FLIPPOS does not guarantee that emails or their content transmitted by the web pages, servers, domains, etc., of this service will not contain harmful substances such as computer viruses; nor does it guarantee that the transmission and storage of emails, files, or data will be correct and error-free without disconnection. FLIPPOS is not responsible for compensation for damages caused by the failure, loss, or error of such email, file, or data transmission or storage.

• The software or programs used by FLIPPOS, and all content on the website, including but not limited to works, pictures, files, information, data, website structure, arrangement of website pages, and web design, are legally owned by FLIPPOS or other rights holders with their intellectual property rights, including but not limited to trademark rights, patent rights, copyrights, trade secrets, and proprietary technologies. No one may independently use, modify, reproduce, publicly broadcast, adapt, distribute, publish, publicly display, reverse engineer, decompile, or disassemble. If a member wishes to quote or reproduce the aforementioned software, programs, or website content, they must obtain prior written consent from FLIPPOS or other rights holders in accordance with the law. Respecting intellectual property rights is an obligation that members should fulfill. If there is any violation, the member shall be liable to FLIPPOS for damages (including but not limited to litigation costs and attorney fees).
• Under the principle of respecting the intellectual property rights of others, members agree not to engage in actions that infringe upon the intellectual property rights of others when using FLIPPOS's services.
• If a member is involved in infringement, FLIPPOS may suspend all or part of the services, or directly cancel the member's account.

Regarding the data uploaded, transmitted, input, or provided by members, members agree that the FLIPPOS website may, within a reasonable scope, collect, process, store, transmit, and use such data to provide users with other information or services, or to create member statistics, or to conduct investigations or research on internet behavior, or for any legitimate use. If a member does not have the legal right to authorize others to use, modify, reproduce, publicly broadcast, adapt, distribute, publish, publicly display certain data, and re-authorize a third party with the aforementioned rights, please do not upload, transmit, input, or provide such data to FLIPPOS without authorization. Once any data is uploaded, transmitted, input, or provided to FLIPPOS by a member, it is deemed that the member has unconditionally allowed FLIPPOS to use, modify, reproduce, publicly broadcast, adapt, distribute, publish, publicly display such data, and may re-authorize the aforementioned rights to others, and the member has no objection to this. The member shall also guarantee that FLIPPOS's use, modification, reproduction, public broadcasting, adaptation, distribution, publication, public display, and re-authorization of such data will not infringe upon the intellectual property rights of any third party, otherwise, the member shall be liable to FLIPPOS for damages (including but not limited to litigation costs and attorney fees).

Due to online transactions or activities provided by this service, the delivery or retrieval of goods (or gifts, etc.) may need to be completed through courier or freight operators. Therefore, the member agrees and authorizes FLIPPOS to provide the personal data (such as recipient's name, delivery address, contact number, etc.) provided by the member and necessary for delivery to courier and freight operators and relevant cooperating manufacturers, according to the needs and purpose of the particular online transaction or activity, to facilitate the delivery or retrieval of such goods (or gifts, etc.).

Members agree that FLIPPOS may, based on considerations of maintaining transaction security, for any reason, including but not limited to lack of use, or violation of the express provisions and spirit of these Terms of Service, terminate the use of the member's password, account (or any part thereof), or this service (or any part thereof), or remove and delete any "member content" within this service. Furthermore, members agree that if the use of this service (or any part thereof) is terminated, FLIPPOS shall not be liable to the member or any third party.

The interpretation and application of these Terms of Service, as well as disputes or controversies arising from transaction behavior related to these Terms of Service or between the member and FLIPPOS, shall be handled in accordance with the laws of the Republic of China, and the Taiwan Taipei District Court shall be the court of first instance jurisdiction, unless the law has other mandatory provisions regarding the jurisdiction, in which case those provisions shall apply.
